Effective Date: September 7, 2025
This document constitutes an offer or counter-offer by Apex Garage Pro (“Apex,” “Seller,” “we,” or “us”) to sell the products, replacement parts, and accessories (collectively, the “Products”) and/or perform repair, maintenance, or installation services (the “Services”) described in any accompanying work order, invoice, or online order form to the customer (“Customer” or “Buyer”), in accordance with these Terms and Conditions (collectively, the “Agreement”).
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles. The exclusive venue for disputes shall be the state or federal courts located in Dallas County, Texas. By requesting or receiving Services or Products from Apex, Customer agrees to these Terms.
No completed repair transaction requested, authorized, and paid for by Customer may be canceled or altered. For new product purchases or installations, Customer may cancel within three (3) business days of the transaction date unless otherwise specified in writing.
Payment is due upon completion of Services or delivery of Products unless otherwise agreed in writing. Apex may, at its discretion, require advance payment. Accounts past due more than 30 days may incur interest at the lesser of (i) 18% per year, or (ii) the maximum rate allowed by Texas law.
If Customer’s payment is dishonored or rejected (“Failed Payment”), Apex may charge a $25 processing fee or the maximum allowed by law.
Prices are as quoted by Apex and subject to change until confirmed in writing. Prices listed on our Website are for general information only and do not constitute a binding offer.
Customer is responsible for all applicable taxes, including sales and use taxes, unless a valid exemption certificate is provided.
Products are delivered directly to Customer’s premises during Service appointments or as otherwise agreed. Risk of loss transfers to Customer upon delivery.
Customer must provide reasonable access to the premises for Services. Service appointments occur at the Customer’s home or designated location.
Apex shall not be liable for delays or failure to perform due to causes beyond its control, including severe weather, natural disasters, supply chain interruptions, strikes, acts of government, pandemics, power outages, or other force majeure events.
Apex may make improvements, modifications, or substitutions to Products or Services without prior notice, provided functionality and quality are not materially reduced.
Product Warranty: Each Product is covered by the manufacturer’s limited warranty. Warranty terms are provided to the Customer at the time of installation or delivery.
Service Warranty: Apex warrants that Services will be performed in a workmanlike manner consistent with industry standards. Warranty coverage for labor and installation is detailed in the warranty document provided at the time of installation.
Exclusions: Warranties do not cover misuse, lack of maintenance, unauthorized modifications, or damage caused by external factors (e.g., weather, accidents).
Cleared Premises: Customer must ensure that the work area (garage and motor space) is clear and accessible (minimum 12 feet clearance). If the area is not cleared, Apex may reschedule and charge for additional costs.
Accurate Information: Customer must provide accurate measurements for new door installations. If incorrect dimensions prevent installation, Customer may be responsible for rescheduling costs.
Warranty Awareness: Customer acknowledges receipt of warranty terms at the time of installation or delivery.
All photographs, images, graphics, and other visual content on the Website are the exclusive property of Apex Garage Pro. They are provided for illustration purposes only and may not exactly represent the actual Product or Service.
Unauthorized use, reproduction, or distribution of Apex’s intellectual property is strictly prohibited.
Customer agrees to indemnify, defend, and hold harmless Apex and its employees, contractors, and affiliates from any claims, damages, liabilities, or expenses arising out of:
Misuse of Products;
Customer’s breach of these Terms;
Negligence or misconduct by Customer.
Standard Orders: Full payment is due at the time of installation.
Custom Orders: A 50% deposit is required at the time of order. If canceled after three (3) business days, Customer may be responsible for costs incurred. Balance is due upon completion of installation.
Apex’s liability shall not exceed the amount paid by Customer for the specific Product or Service giving rise to the claim. In no event shall Apex be liable for incidental, indirect, or consequential damages, including lost profits or loss of use.
Customer may not assign rights or delegate obligations under this Agreement without Apex’s prior written consent.
These Terms, together with any invoice, warranty, or work order provided, constitute the full and final agreement between Apex and Customer. No oral statements or prior agreements shall alter these Terms unless expressly agreed in writing by Apex.
